Testimonial Form

Thank you for your willingness to submit a testimonial detailing the experience you’ve had working with Innovenn. This testimonial will be used only for promotional purposes on the
innovenn.com website or in various print, electronic or other advertising or informational
material.
In plain English, the language below simply states that: 1. You’re giving Innovenn full rights to
use the testimonial and logo for promotional purposes. 2. You are the owner or authorized
representative of the business that has the power to grant this consent and release. Also, if for
any reason using this testimonial and logo by Innovenn causes another third party to file suit
against Innovenn, Innovenn is not responsible. 3. This testimonial is the most current testimonial
and supersedes any previous testimonials.
Consent, Release and Waiver
I, in my individual capacity to the extent my name or likeness is used, and in my representative
capacity on behalf of [Customer Name] (“Customer”) as the duly authorized representative
agent of Customer, irrevocably grant to Innovenn, Inc, (“Innovenn”) its subsidiaries, affiliates,
successors and assigns and those acting with its Innovenn’s authority, with respect to all
elements of my testimonial including all text, names, likenesses, artwork, images, my Customer
name, Customer logo, trademark or trade name (collectively, my “Testimonial”): all copyrights
and derivative rights in my Testimonial and a non-exclusive, perpetual right to use, publish, re-
publish or reproduce my Testimonial by any means Innovenn sees fit for the limited promotional
purpose stated above.
I, individually and on behalf of the Customer, irrevocably waive any claim against Innovenn
relating to the Innovenn’s use of my Testimonial and further agree promise not to bring any such
claim or action related to such waiver in the future. I, individually and on behalf of the Customer,
also waive any right to inspect, modify, approve or disapprove the use, layout, presentation or
other aspect of my Testimonial after I submit it to Innovenn and understand that the Testimonial
will be the property of Innovenn.
Representations
In giving my Testimonial I, individually and on behalf of the Customer, represent and that (i) I am
the owner or an authorized representative for Customer and that I have the power and authority

to grant this consent, waiver and release, and (ii) my Testimonial or any related materials will
not violate the rights of any third party or give rise to any claim that another party’s rights have
been or will be violated as a result of Innovenn’s use or publication of my Testimonial.
Customer and I , jointly and severally, understand and agree to indemnify and hold Innovenn
harmless from and against any and all liabilities, costs, losses or other damages, including
reasonable attorney’s fees, that I will be liable to Innovenn for any damage or cost (including
reasonable attorney fees) it may suffer as a result of, in whole or in part, arising out of itsany of
the following: (i) Innovenn’s use of my the Testimonial; or (ii) Customer’s material breach of any
representation or warranty given in connection with the Testimonial; or (iii) my material breach
of any representation or warranty given in connection with the Testimonial. I also understand
that Innovenn is not obligated to publish my the Testimonial and that if it does, I will not be
receiving royalties or any other payment from Innovenn.
Miscellaneous
This Consent and Waiver shall be governed and construed in accordance with the laws of the
state of Wisconsin, without regard to conflicts of law principles. The undersigned irrevocably
submits to the jurisdiction of any court of competent jurisdiction located in Dane County, in the
state of Wisconsin in connection with any proceeding arising out of or relating to this Consent
and Waiver. Every provision of this Consent and Waiver is intended to be severable. If any
provision is declared by a court of competent jurisdiction to be illegal, invalid or unenforceable
for any reason whatsoever, that illegality, invalidity or unenforceability shall not affect the
balance of the terms and provisions hereof, which shall remain binding and enforceable. This
Consent and Waiver shall be binding upon and inure to the benefit of the undersigned, including
all heirs, legal representatives, successors and assigns. There are no oral agreements. This
Consent and Waiver supersedes any and all prior written or oral commitments, agreements,
representations and understandings relating to the Testimonial and may not be contradicted or
varied by evidence or by prior contemporaneous or subsequent oral agreements or discussions
of any person or party without Innoven’s consent.
